Fundraising & Payments Addendum
Applies only when the Organizer uses ScrambleSync's optional fundraising and payment features. Forms part of the Terms of Service.
1. Scope & Incorporation
This Fundraising & Payments Addendum (the "Addendum") supplements and forms part of the ScrambleSync Terms of Service / Master Subscription Agreement (the "Terms") between Coyote Valley Technology Solutions, LLC, operating the ScrambleSync service ("ScrambleSync", "we"), and the customer (the "Organizer", "you").
This Addendum applies only when, and to the extent that, the Organizer chooses to use ScrambleSync's optional fundraising and payment features, which include: donations, sponsor-package checkout, raffles, silent auctions, mobile/online bidding, mulligan packages, and prize drawings (together, the "Fundraising Features").
If the Organizer does not use the Fundraising Features, this Addendum has no effect. Where this Addendum conflicts with the Terms on a matter specific to the Fundraising Features, this Addendum controls; otherwise the Terms continue to apply in full.
2. Two Money Flows — Recap
ScrambleSync operates two distinct money flows, as described in [Terms §7.2](/legal/terms):
- Subscription / platform fees flow from the Organizer to ScrambleSync for use of the software.
- Fundraising and event payments — amounts paid by participants, donors, and sponsors (donations, sponsor packages, raffle and auction payments, mobile bids, mulligan packages, and similar) — flow into the Organizer's own connected Stripe account.
ScrambleSync never holds, escrows, controls, or is a party to participant, donor, or sponsor funds. Those funds move directly between the payer and the Organizer's connected Stripe account. ScrambleSync provides the software that initiates and records these payments; it is not the recipient, custodian, or processor of those funds.
3. Organizer Responsibilities
When using the Fundraising Features, the Organizer is solely responsible for the following:
- Connected Stripe account. Establishing, maintaining, and complying with the terms of its own connected Stripe account, including identity verification, banking details, and Stripe's agreements and policies.
- Refunds, chargebacks, and settlement. All refunds, chargebacks, payout, settlement, and reserve issues, and participant disputes arising from payments into its connected Stripe account. ScrambleSync does not issue, fund, or adjudicate refunds or chargebacks.
- Solicitation, gaming, and auction compliance. All charitable-solicitation registration, raffle/lottery/gaming, and auction compliance in every jurisdiction in which it solicits, sells, or operates — including obtaining any required licenses, permits, or registrations and observing all applicable restrictions.
- Tax and receipts. All tax handling, fair-market-value determinations, and the accuracy of tax receipts issued to donors or participants. ScrambleSync's receipt and fair-market-value tools are conveniences only and are not tax advice; the Organizer is responsible for confirming amounts, deductibility, and language with its own advisors.
- Truthful representations. Making truthful, accurate, and non-misleading representations to donors and participants about the purpose of the fundraising, who benefits, prices, rules, odds, and the deductibility or value of any payment.
4. ScrambleSync Is Not a Fundraiser or Processor of These Funds
ScrambleSync provides software tools, not fundraising, payment, or advisory services. Specifically, ScrambleSync is NOT:
- a charitable fundraiser, charitable organization, or professional fundraiser/solicitor;
- an auctioneer or auction house;
- an escrow agent or custodian of participant, donor, or sponsor funds;
- the payment processor of fundraising or event funds (Stripe processes those funds for the Organizer's connected account); or
- a provider of legal, tax, accounting, or regulatory-compliance advice.
ScrambleSync provides the tools that let the Organizer run these activities. Responsibility for the activities themselves — and for compliance, tax, and accuracy — rests with the Organizer.
5. No Guarantee of Outcomes
ScrambleSync makes no guarantee or representation as to the amount of money raised, the number of donors or participants, the success of any auction, raffle, or drawing, or any other fundraising outcome.
The Organizer alone sets prices, package contents, raffle and auction rules, bidding mechanics, eligibility, and prize structures, and is responsible for ensuring they are lawful, fair, and clearly disclosed to participants.
